AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement between you and THEDMK (OPC) Private Limited (“Company”, “we”, “us”, or “our”) governing your access to and use of our fitness and wellness services, including all programs offered under the brands “The DMK”, “The Inner Circle”, and “The Confidence Club”.

By registering for, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, you must not use our services.

ELIGIBILITY AND REGISTRATION

You must be at least 18 years old and legally capable of entering into binding contracts under Indian law. You must reside in a jurisdiction where our services are legally available and provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately of any unauthorized use.

SERVICES DESCRIPTION

We provide premium fitness and wellness transformation programs that may include personalized fitness coaching, customized nutrition guidance, mindset and confidence coaching, live group sessions via Zoom, recorded workout content, WhatsApp community access, mobile app access, and progress tracking tools.

Program-specific details, duration, and deliverables are shared at enrollment. We reserve the right to modify, suspend, or discontinue any part of the services with reasonable notice where practicable.

HEALTH AND MEDICAL DISCLAIMERS

Consultation with Healthcare Providers
Our programs are intended for generally healthy individuals. You must consult a qualified healthcare professional before starting if you have medical conditions, injuries, are pregnant or nursing, are on medication, or have health concerns.

Not Medical Advice
All information provided is for educational and motivational purposes only and does not constitute medical, nutritional, or therapeutic advice. We are not licensed medical professionals, dietitians, or therapists.

Assumption of Risk
Fitness activities involve inherent risks, including injury or aggravation of existing conditions. You voluntarily assume all risks and agree to participate at your own risk. Stop immediately if you experience pain, dizziness, or discomfort.

PROGRAM ENROLLMENT AND PAYMENTS

Enrollment Process
Enrollment requires registration, submission of required information, acceptance of these Terms, and payment of applicable fees.

Pricing and Fees
Program fees are displayed during enrollment and may vary. Prices are in INR unless stated otherwise. Pricing changes do not affect existing enrollments.

Payment Terms
Full payment is required at enrollment unless installments are offered. Payments are processed via approved payment gateways. Failed payments may result in access suspension.

Taxes
Fees are exclusive of applicable taxes, including GST. You are responsible for all applicable taxes.

PROGRAM PARTICIPATION REQUIREMENTS

Active Engagement
You are expected to attend sessions, follow guidelines, engage with coaches, participate in the community, submit progress updates, and complete assigned tasks.

Respectful Conduct
Harassment, abuse, discrimination, or misconduct toward coaches, staff, or participants will result in termination without refund.

Prohibited Activities
You may not share accounts, record or distribute content, misuse services, access systems without authorization, or violate applicable laws or these Terms.

INTELLECTUAL PROPERTY RIGHTS

Our Content
All program content, materials, apps, branding, and methodologies are owned by THEDMK (OPC) Private Limited or its licensors and are protected by law.

Limited License
You receive a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only. Copying, resale, distribution, or reverse engineering is prohibited.

Your Content
You grant us a worldwide, royalty-free, perpetual license to use content you submit (including photos, feedback, testimonials) for service delivery, marketing, and improvement purposes. You confirm you own the rights to such content.

CONFIDENTIALITY AND PRIVACY

Personal data is handled according to our Privacy Policy. While reasonable security measures are used, absolute security cannot be guaranteed. You agree to keep confidential any proprietary program materials.

PHOTOGRAPHY, VIDEO, AND TESTIMONIALS

Group sessions may be recorded. Explicit written consent will be obtained before using individual transformation images or testimonials for marketing. You may withdraw consent in writing at any time.

CANCELLATION AND REFUNDS

Refunds and cancellations are governed by our separate Refund Policy, which forms part of these Terms. Please review it carefully before enrolling.

TERM AND TERMINATION

Program Duration
Access continues for the duration of your program. Some programs may auto-renew unless cancelled as specified.

Termination by You
You may cancel according to the Refund Policy by providing written notice.

Termination by Us
We may suspend or terminate access without refund for violations, non-payment, false information, or harmful conduct.

Effects of Termination
Access ends immediately upon termination. Certain clauses survive termination, including IP rights, disclaimers, and dispute resolution.

DISCLAIMERS AND LIMITATION OF LIABILITY

Disclaimer of Warranties
Services are provided “as is” and “as available” without warranties. We do not guarantee results, uninterrupted access, or error-free services.

Limitation of Liability
To the maximum extent permitted by Indian law, our total liability shall not exceed the amount paid by you in the 12 months preceding the claim. We are not liable for indirect or consequential damages.

INDEMNIFICATION

You agree to indemnify and hold harmless THEDMK (OPC) Private Limited and its representatives against claims arising from your use of services, violation of these Terms, or harm to others.

GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law
These Terms are governed by the laws of India.

Jurisdiction
All disputes are subject to the exclusive jurisdiction of courts in Hyderabad, Telangana.

Dispute Resolution
You agree to attempt good-faith resolution before initiating legal proceedings. If unresolved within 30 days, disputes may proceed to court.

MODIFICATIONS TO TERMS

We may update these Terms at any time. Continued use after updates constitutes acceptance. If you disagree, you must discontinue use and may cancel as per the Refund Policy.

GENERAL PROVISIONS

Entire Agreement
These Terms, along with the Privacy Policy and Refund Policy, form the complete agreement.

Severability
Invalid provisions do not affect the remaining terms.

Waiver
Failure to enforce a right does not waive it.

Assignment
You may not assign rights without written consent. We may assign freely.

Force Majeure
We are not liable for delays due to events beyond reasonable control.
